Virginia Discusses NextEra's Acquisition of Dominion Amid Official Opposition

Public hearings were held in the U.S. state of Virginia regarding NextEra Energy's acquisition of Dominion Energy in a stock swap deal valued at $67 billion, with a hearing held in the city of Newport News on October 7 and another in Fairfax County on October 9, while the evidentiary hearing is expected to begin on November 17.

Lieutenant Governor Ghazala Hashmi announced her opposition to the deal on October 6, stating that it "is not in the best interest of Virginians," noting that NextEra owns thousands of separate entities, many of which engage in higher-risk activities than a regulated electric utility, and that it has not offered guarantees regarding the limits of its future acquisitions or the scope of the state Public Service Commission's authority in the review.

Governor Abigail Spanberger said she was "skeptical" without taking a definitive stance, after registering on August 17 as a party to the commission's review, a role that allows challenging the final decision before the Supreme Court of Virginia, while the Attorney General and the Office of Consumer Counsel also intervened. NextEra spokesperson Neil Nissan responded that the company is "disappointed" by the Lieutenant Governor's decision and "respectfully disagrees" with it.

This case is of interest to electric companies and investors in regulated utilities, as the deal creates the world's largest regulated utility with ten million customers across four states. Written comments may be submitted through November 9, and the 180-day review period expires on January 11, 2027, at a time when the Attorney General argues that a filing submitted in September restarted the timeline.

What do these terms mean?

Stock Swap: A method of financing an acquisition in which the buyer pays with its own stock instead of cash, so that shareholders of the target company become shareholders in the merged entity.

Public Service Commission: The regulatory body in many U.S. states that approves electricity rates and utility operations within the state.

Evidentiary Hearing: A formal hearing in which evidence and testimony are presented to the regulatory authority before a final decision is issued on the matter.

180-Day Review Period: The statutory timeframe that obligates the regulatory body to decide on the acquisition application after the review commences.
