Schneider Acquires PTC for $22.6 Billion
Schneider Electric has agreed to acquire PTC in cash at $205 per share, in a deal valued at approximately $22.6 billion and representing a 42.3% premium over the last closing price.

French company Schneider Electric has agreed to acquire US software firm PTC in an all-cash transaction at $205 per share, valuing equity at approximately $22.6 billion, equivalent to €20.1 billion, according to the Dealroom platform. The enterprise value stands at around $23.7 billion.
The price premium is 42.3% above the last stock closing price, and 46.1% above the 30-day volume-weighted average trading price. The company expects to achieve annual operating savings of around €250 million by the third year, in addition to about €800 million in revenue synergies, reducing the effective earnings multiple from 21 to 13 times based on 2027 estimates.
Schneider CEO Olivier Blum said the goal is to build "the strongest software and AI powerhouse in the industry," while PTC CEO Neil Barua stated that the deal provides the company with "significant scale and resources to accelerate innovation" and expand geographically as product data transitions toward artificial intelligence.
The deal ranks among the largest acquisitions in the industrial software sector to date, as Schneider owns the industrial software unit "AVEVA," while PTC develops software for designing and managing industrial products. Analysts believe that the convergence between energy equipment and industrial software has become a key focal point of competition in factory modernization.
