Arca Nova is a blank check company, which is formed to raise funds to later acquire an existing business. Its sponsor is linked to a wholly owned entity of DDC Enterprise, while Maxim Group is acting as the sole bookrunner. The company is headquartered in Charlotte, North Carolina.

The company stated that it will target agentic artificial intelligence, stablecoin payments, and digital yield platform sectors. Agentic AI refers to systems that perform tasks and take steps on behalf of the user rather than merely answering questions, while stablecoins refer to digital assets pegged to the value of a traditional currency.
