C.H. Robinson Acquires RXO for $5.8 Billion

C.H. Robinson announced an agreement to acquire RXO in a transaction combining cash and stock with an estimated value of $5.8 billion, according to a company statement. The deal will create a logistics group whose total value, including debt, exceeds $25 billion.

Under the terms of the deal, RXO shareholders will receive $17.25 in cash plus 0.0856 shares of C.H. Robinson for each share, equivalent to $30.25 per share. This price represents a 29% premium over RXO's closing share price on October 2.

RXO shareholders are expected to own approximately 11% of the combined company after completion of the deal, which is expected to close in the first half of 2027. The two companies target achieving net cost savings of $300 million on an annual basis within two years of closing.

This acquisition comes at a time when the logistics industry is witnessing a wave of consolidation, as major companies seek to expand their networks and reduce costs by combining operations. Linking the major freight broker with transportation operations means the combined company will have a broader presence in moving goods inside and outside the United States.
