TKO Offers $2 Billion to Acquire 93 US Hotels

Service Properties Trust announced that it has received an unsolicited offer from TKO to acquire its hotel portfolio for $2 billion in cash, confirming that there were no prior communications between them.

The portfolio includes 93 hotels with over 21,000 rooms across the United States, including Puerto Rico, and Canada. Service Properties Trust is a real estate investment trust (REIT) with an asset value of $9.7 billion distributed across hotel and leased retail properties, owning 745 commercial properties spanning over 13.5 million square feet.

The company stated that its Board of Trustees will carefully review the offer before making a decision it deems in the best interest of the company and its shareholders, adding that the proposal remains subject to negotiation and board approval.

The company noted that the sale proceeds, if completed, would allow it to pay off more than 40% of its outstanding debt, making the transaction an important milestone in restructuring its balance sheet and focusing on retail assets.

What do these terms mean?

Real Estate Investment Trust (REIT): A company that owns and operates income-generating real estate, distributes most of its profits to shareholders, and is traded like any stock on an exchange.

Unsolicited offer: A purchase proposal submitted by a buyer to a company on its own initiative without prior invitation, which remains subject to board approval.

Hotel portfolio: The collection of hotels and real estate properties owned, managed, or leased by a company, whose value is measured by the number of rooms and units.
