SpaceX and Tesla Exploring Potential Merger, Musk Excluded from Discussions

SpaceX and Tesla have formed special committees to study a potential merger between them, according to Elon Musk during SpaceX's third-quarter earnings call on October 20.

Musk said the two committees consist of independent board members and were established at the request of shareholders. He added that he cannot participate in the committees' discussions because he is a conflicted party, being the CEO and largest individual shareholder in both companies.

The two companies have not disclosed the names of the committee members and have not yet agreed on the terms of the deal. Musk clarified that any merger would require shareholder support, without announcing a timeline or financial details.

Neither Tesla nor SpaceX issued additional statements regarding the progress of negotiations, at a time when investors are monitoring the relationship between the two companies, which are linked by ownership and management ties.

What Do These Terms Mean?

Special Committee: A committee formed by the board of directors from independent members to study a major transaction or sensitive decision, away from directors with a direct interest.

Conflict of Interest: A situation in which a company official has a personal interest in a decision they make, which could affect their impartiality.

Merger: An agreement between two companies to join into a single entity, often through a share swap or cash payment, usually requiring approval from shareholders and regulatory authorities.
